Terms of Service

Effective date: May 23, 2026

1. Sino kami

Ang serbisyong ito ay pag-aari at pinapatakbo ng DISKARTE-NEGOSYANTE(“namin”, “kami”). Sa paggamit ng platform, sumasang-ayon ka sa Terms na ito.

2. Acceptance

Sa pag-create ng account o patuloy na paggamit ng serbisyo, ipinapahayag mong (a) nasa legal age ka (18+), at (b) may authority kang i-bind ang sarili mo (o ang business mo, kung applicable) sa Terms na ito.

3. Ang serbisyo

DISKARTE-NEGOSYANTE ay AI-powered advisory platform para sa Pinoy SMEs (chat, rescue assessment, business diskarte). Ang outputs ay para sa general guidance lang at hindi kapalit ng professional legal, financial, o tax advice.

4. Account & security

• Ikaw ang responsable sa pag-maintain ng confidentiality ng credentials mo.
• Magbigay ng tamang impormasyon at i-update ito kapag kinakailangan.
• Sabihin agad sa amin kung may unauthorized access ka napansin.

5. Acceptable use

Bawal mong:

• Gumamit nang labag sa batas, mag-fraud, mag-spam, o lumabag sa IP ng iba.
• Magpasok ng malware, mag-probe ng security, o mag-scrape ng platform.
• I-resell, i-redistribute, o i-reverse engineer ang serbisyo.
• Gamitin ang AI para gumawa ng illegal, deceptive, o harmful content (deepfakes, hate speech, jailbreaking, etc.).
• I-bypass ang technical limits o subscription gating.

6. AI outputs — disclaimer

Ang AI ay pwedeng magkamali. Ikaw ang responsable sa (a) prompts mo, (b) pag-verify ng outputs bago mag-act, at (c) may right ka sa anumang input content na inilagay mo. Hindi para sa regulated professional advice ang outputs nang walang oversight ng licensed professional.

7. Intellectual property

Ang software, design, branding, at content ng platform ay pag-aari ng DISKARTE-NEGOSYANTE. Binibigyan ka namin ng limited, non-exclusive, non-transferable license para gamitin ang serbisyo sa loob ng iyong active plan.

8. User content

Pinapanatili mo ang ownership ng input content mo. Binibigyan mo kami ng limited license para i-host at i-process ito para lang sa pag-deliver ng serbisyo.

9. Subscription, billing & payments

Ang subscription mo ay binibili sa pamamagitan ng Paddle.com Market Ltd. Para sa lahat ng billing, taxes, invoicing, cancellation, at payment terms, mag-apply ang Paddle Checkout Buyer Terms.

Merchant of Record disclosure: Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Auto-renew ang subscription kada buwan hangga't hindi mo kina-cancel sa Account page. Kapag nag-cancel ka, mananatili ang access mo hanggang sa katapusan ng current billing period.

10. Refunds

Tingnan ang Refund Policy namin.

11. Suspension & termination

Pwede naming i-suspend o i-terminate ang access mo para sa: (a) material breach ng Terms, (b) non-payment, (c) security/fraud risk, o (d) repeated/serious policy violations. Kapag natapos ang access, may 30-day window ka para i-export ang data mo bago kami magdelete.

12. Warranties & liability

Inilalaan ang serbisyo "AS IS". Sa pinaka-mataas na pinapayagan ng batas, ide-disclaim namin ang lahat ng implied warranties (merchantability, fitness for purpose). Ang aggregate liability namin ay limitado sa total fees na binayaran mo sa nakaraang 12 buwan. Hindi kami liable sa indirect, consequential, special, o punitive damages. Walang carve-out — except sa fraud, willful misconduct, death, o personal injury kung saan required ng batas.

13. Indemnification

I-i-indemnify mo kami sa claims na nag-arise mula sa input content mo, illegal use, o paglabag sa Terms na ito.

14. Governing law & disputes

Pinapatnubayan ng batas ng Republika ng Pilipinas. Anumang dispute ay isasailalim sa exclusive jurisdiction ng mga korte ng Lungsod ng Makati.

15. Changes

Pwede naming i-update ang Terms. Aabisuhan ka via email o in-app 30 days bago magpatupad ng material changes.
